Actions of the Ukrainian Side
LIST OF WORKS THAT WILL BE PERFORMED IN THE PROCESS OF REGISTRATION AND LAUNCH OF FULL-FLEDGED ACTIVITIES OF THE JV (joint venture).
Preparatory stage
Development of the concept of the main areas of activity of the JV (taking into account the legislation of Ukraine), ensuring the effective operation of the JV after its REGISTRATION;
Preparation of the draft Memorandum of Cooperation and Partnership, sending it for signing by the JV participants;
Development (with the involvement of a law firm) and sending to the JV participants of draft Constituent documents necessary for the registration of the JV
(Charter, Minutes of the founders' meeting, Powers of attorney for their signing, if necessary, etc.);
Registration of the JV
After the participants have agreed on the draft Constituent documents and chosen the legal address of the location of the JV, organization of their notarial registration and registration of the enterprise in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations of Ukraine (USR);
Obtaining from the USR registration documents (Extract, Extract), registration of the JV with the customs and tax authorities with the receipt of the relevant Declaration and Certificates of value added tax and profit taxpayer;
Conclusion of a contract with the bank for the opening of accounts
(in national, foreign currency) and their maintenance;
Preparation of presentation material
After receiving from the Partner company, hereinafter referred to as the Supplier, in electronic form the Presentation offered for implementation on the Ukrainian energy market and the draft prices:
organization of design design on behalf of the JV of the advertising brochure and its printing in the printing house
analysis of the competitiveness of the proposed prices;
preparation (in agreement with the Supplier) of the final Price List for energy products for further offer to buyers, clients (borrowers) of banks, corporate clients, etc.;
Contractual and administrative work
Presentation to banks (JSC "OSCHADBANK", JSC UKREXIMBANK", JSC "UKRGASBANK", JSC CB "PRIVATBANK", etc.) of energy products offered by the JV, preparation and conclusion of relevant partnership Cooperation Agreements with them;
Conducting work with the leading employees of the banks to assist them in the acquisition of products of the JV by clients (borrowers);
Selection of corporate clients - potential buyers of JV products, registration and conclusion of Sales Contracts with them;
Registration and registration of the JV website;
Selection of qualified technical and other personnel for work in the JV. Preparation and conclusion of Labor Agreements with them;
Preparation and conclusion of Contracts:
for the lease of office and warehouse premises;
for the provision of utilities and other services (communication - Internet, telephone, postal and other) by contractors;
Organization of supplies and sales
Search and purchase on the basis of concluded contracts (at optimal prices, with a guaranteed service life) of equipment necessary to ensure the full functioning of the office and warehouse premises (PCs, telephones, fax, furniture), office supplies;
Carrying out work on the formation of a regional dealer network for the sale of products offered by the JV and its technical support. Preparation and conclusion of the relevant dealer agreements;
Selection of partner contractors for the installation of the energy equipment offered by the JV, conducting their technical training. Preparation and conclusion of Contracts with them on the terms of payment of a commission fee to the joint venture;
Based on the Sales Contracts concluded with the buyers, the formation of orders for the supply of energy equipment by the Partner company, preparation and execution of the relevant contract with it.
Based on the results of the delivery, customs clearance of the received cargo, organization of its delivery to the warehouse and transfer to the buyers. Providing banks with copies of documents on the fulfillment of product deliveries for client borrowers;
Development of a concept for wide advertising of the products offered by the JV and their placement in the media.
Ensuring the operational functioning of the JV, providing reporting to the authorized bodies (State Tax Service, statistics, social and other services)
